Custom Software: Engaging Mynt Pte Ltd

Agenda Item 8 · Engaging Mynt Pte Ltd to replace our external software vendors with Canopy, our own tailor-made platform

In my letter I described how, through Mynt Pte Ltd, our schools now run on custom software built specifically around our operations, a platform we call Canopy. This note sets out the numbers behind Agenda Item 8: what the external software we are replacing costs us today, what Canopy would cost to procure from a professional development house, and exactly what we are asking you to approve.

The proposal in one line. Mynt Pte Ltd has built, and continues to run, a platform that would cost roughly S$2.5M to S$3.1M to procure from a Singapore development house. It is being contributed at no development fee. We ask only that Mynt Education pay a monthly fee of S$1,200, comfortably below the roughly S$1,972 a month it currently spends on the external subscriptions Canopy replaces. Mynt Education comes out ahead: it saves about S$770 a month, around S$9,200 a year, and at the same time gains a far more powerful, fully tailored system in place of the off-the-shelf tools.

1  ·  What we pay external vendors today

We currently operate two schools, and pay a spread of external vendors for software that Canopy has replaced, or is in the middle of replacing. The figures below are the recurring monthly cost across both schools.

Software What it does Per month
Taidii Parent relationship management S$360
Superbench Enquiry and messaging management platform S$1,000
Joiin Financial analytics & consolidation S$225
Xero Accounting software S$212
Dropbox File storage S$175
Total external software spend S$1,972

All amounts in Singapore dollars. As we add schools, the external bill would rise, while Canopy already covers all of these functions across every school.

2  ·  What Canopy is

Canopy is not a single app standing in for one of the tools above; it is a full, multi-school SaaS platform that absorbs all of them and a great deal more. It has matured into a production system with multiple permission layers and more than twenty modules.

20
feature modules across the platform
~61,000
lines of application code (128 modules)
86
database tables with row-level security
iOS + Android
native apps, live on both app stores

Among the functions it now delivers in-house, replacing or surpassing the external tools:

3  ·  What Canopy would cost to procure

To put a fair value on what is being contributed, we estimated what a professional development house would charge to build Canopy from scratch as it stands today. The method is the standard one: inventory the scope, estimate build hours per feature, add industry-standard QA and project-management overhead, layer on the real-world cost of feedback cycles, polish and post-launch stabilisation, then apply 2026 Singapore development-shop rates.

Layer Effort (hours)
Build (development + QA + project management) 7,400 to 10,600
Iteration, polish & post-launch stabilisation 6,500 to 9,200
Full engagement ~13,900 to 19,800

A central estimate of roughly 16,800 hours, or about a 26 to 42 month engagement for a Singapore shop.

Applied against 2026 Singapore development-shop rates, that is the figure in the headline:

Procurement cost (Singapore shop)
S$2.5M to S$3.1M
to build Canopy as it stands in June 2026
Development fee to Mynt Education
S$0
contributed in full as goodwill

On the estimate above, a build of this scope would take a Singapore development shop roughly 26 to 42 months. Mynt Pte Ltd delivered it in about three months, and an expedited build of this kind would ordinarily cost more, not less. On top of that, Mynt Pte Ltd has absorbed all running costs to date, charging Mynt Education nothing for the several months the system has been live.

4  ·  What we are asking you to approve

The resolution under Agenda Item 8 is to engage Mynt Pte Ltd as the company's software provider, replacing the external vendors above, on the following basis:

  1. No development feeMynt Pte Ltd does not charge Mynt Education for building Canopy, a contribution valued at roughly S$2.5M to S$3.1M.
  2. An initial monthly fee of S$1,200This is the starting fee, set below the roughly S$1,972 a month Mynt Education currently spends on the external software Canopy displaces, so the company is better off from day one, by about S$770 a month, around S$9,200 a year. We will keep building out more custom software for the schools over time; as the platform grows, any change to the fee will be benchmarked against comparable external software and charged fairly.
  3. Grants, not development chargesWe will try to apply for applicable government grants to help with the development costs. If a grant is approved, Mynt Pte Ltd may receive some support from it; if no grant comes through, Mynt Pte Ltd absorbs the development cost in full and will not claim it from Mynt Education.

Because this is a transaction with a related party, it is being put to you openly here and at the meeting, consistent with the related-party transparency we are also proposing in the Shareholders' Agreement. I will be glad to take any questions on it during the AGM.
