Agenda Item 8 · Engaging Mynt Pte Ltd to replace our external software vendors with Canopy, our own tailor-made platform
In my letter I described how, through Mynt Pte Ltd, our schools now run on custom software built specifically around our operations, a platform we call Canopy. This note sets out the numbers behind Agenda Item 8: what the external software we are replacing costs us today, what Canopy would cost to procure from a professional development house, and exactly what we are asking you to approve.
The proposal in one line. Mynt Pte Ltd has built, and continues to run, a platform that would cost roughly S$2.5M to S$3.1M to procure from a Singapore development house. It is being contributed at no development fee. We ask only that Mynt Education pay a monthly fee of S$1,200, comfortably below the roughly S$1,972 a month it currently spends on the external subscriptions Canopy replaces. Mynt Education comes out ahead: it saves about S$770 a month, around S$9,200 a year, and at the same time gains a far more powerful, fully tailored system in place of the off-the-shelf tools.
We currently operate two schools, and pay a spread of external vendors for software that Canopy has replaced, or is in the middle of replacing. The figures below are the recurring monthly cost across both schools.

All amounts in Singapore dollars. As we add schools, the external bill would rise, while Canopy already covers all of these functions across every school.
Canopy is not a single app standing in for one of the tools above; it is a full, multi-school SaaS platform that absorbs all of them and a great deal more. It has matured into a production system with multiple permission layers and more than twenty modules.
Among the functions it now delivers in-house, replacing or surpassing the external tools:
To put a fair value on what is being contributed, we estimated what a professional development house would charge to build Canopy from scratch as it stands today. The method is the standard one: inventory the scope, estimate build hours per feature, add industry-standard QA and project-management overhead, layer on the real-world cost of feedback cycles, polish and post-launch stabilisation, then apply 2026 Singapore development-shop rates.

A central estimate of roughly 16,800 hours, or about a 26 to 42 month engagement for a Singapore shop.
Applied against 2026 Singapore development-shop rates, that is the figure in the headline:
On the estimate above, a build of this scope would take a Singapore development shop roughly 26 to 42 months. Mynt Pte Ltd delivered it in about three months, and an expedited build of this kind would ordinarily cost more, not less. On top of that, Mynt Pte Ltd has absorbed all running costs to date, charging Mynt Education nothing for the several months the system has been live.
The resolution under Agenda Item 8 is to engage Mynt Pte Ltd as the company's software provider, replacing the external vendors above, on the following basis:
Because this is a transaction with a related party, it is being put to you openly here and at the meeting, consistent with the related-party transparency we are also proposing in the Shareholders' Agreement. I will be glad to take any questions on it during the AGM.
